Article 1 – Definitions
- Mensys: Mensys B.V., Crayenestersingel 65, 2012 PG Haarlem, The Netherlands. CoC 58188290, VAT NL852917454B01.
- Consumer: a natural person acting outside a trade, business or profession.
- Products: software, licenses, hardware and/or digital content supplied by Mensys.
- Services: installation, maintenance, support and consultancy.
- Agreement: any contract between Mensys and the Consumer, online or offline.
- Digital delivery: making available electronically (license key, download link).
Article 2 – Applicability
- These terms apply to all consumer purchases.
- Deviations apply only if confirmed in writing by Mensys.
Article 3 – Offer & conclusion
- Offers are non‑binding unless expressly stated otherwise.
- An agreement is concluded upon (electronic) confirmation by Mensys or when performance has commenced.
- For third‑party software, the vendor’s license and support terms apply.
Article 4 – Prices & payment
- Prices include VAT unless stated otherwise.
- Payment within 14 days from invoice date unless agreed otherwise.
Article 5 – Delivery & risk
- Delivery takes place as agreed (physical or digital).
- Digital delivery is completed when the license key or download link is made available.
- Risk passes to the Consumer upon (digital or physical) delivery.
Article 6 – Right of withdrawal
- You have a 14‑day cooling‑off period after receipt (distance selling within the EU).
- Exclusions include:
- software/licenses where the seal has been broken or that have been delivered/activated;
- digital content not supplied on a tangible medium, if performance started with your explicit prior consent;
- customized or made‑to‑specification items.
- Return shipping at Consumer’s cost. Refund within 14 days after receipt of the return or proof of dispatch.
Article 7 – Warranty & conformity
- Products conform to the agreement and reasonable expectations.
- Third‑party software is governed by the vendor’s warranty and support policies.
Article 8 – Liability
- Mensys is not liable for indirect or consequential damages, including data loss.
- Direct damages are limited to the invoice value of the relevant delivery.
Article 9 – Intellectual property
- All IP rights remain with Mensys or its licensors.
- You obtain a right of use only as granted by the applicable license.
Article 10 – Privacy
Mensys processes personal data in accordance with the GDPR. See the privacy statement at mensys.nl.
Article 11 – Force majeure
Mensys is not obliged to perform while a force‑majeure event persists.
Article 12 – Complaints & disputes
Complaints: info@mensys.nl. Dutch law applies; competent court: Haarlem region.
